These Terms of Use (the “Terms”) constitute a legally binding agreement between you and Intellijex LLC (“Intellijex,” “Company,” “we,” “us,” or “our”) governing your access to and use of our website, digital platforms, communications, content, and related services (collectively, the “Services”).

Intellijex provides services including AI Automation, Web Solutions, Software Development, and IT Solutions.

These Terms apply to:

• individuals who visit our website;
• business customers and prospective customers who contact us or inquire about our services; and
• authorized users, representatives, or personnel of businesses that engage or interact with Intellijex.

If you do not agree to these Terms, please do not use the Services.

Intellijex provides information about its company, capabilities, and service offerings through its website and other communications channels. The Services may include information about, access to, or interaction with offerings relating to AI automation, web development, software development, IT consulting, technical solutions, integrations, support, and related professional or technology services.

Information made available through the Services is provided for general informational purposes unless otherwise expressly stated in a separate written agreement. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.

2. Eligibility and Acceptable Use

You may use the Services only for lawful business, professional, and informational purposes and only in compliance with these Terms and applicable law.

By using the Services, you represent and warrant that:

• in any manner that could damage, disable, overburden, or impair the Services or Intellijex’s business operations.

4. Intellectual Property Rights

The Services, including all content, text, graphics, logos, branding, website design, software, interfaces, documentation, materials, and other content made available by Intellijex, are owned by or licensed to Intellijex and are protected by applicable intellectual property, copyright, trademark, and other laws.

Subject to your compliance with these Terms, Intellijex grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for your internal business or informational purposes.

Except as expressly permitted in writing by Intellijex, you may not:

• copy, reproduce, modify, distribute, republish, transmit, display, perform, or create derivative works from the Services;
• reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas from any software or systems made available through the Services;
• use Intellijex’s trademarks, logos, or branding without prior written permission; or
• use the Services to create or support a competing product or service.

All rights not expressly granted are reserved by Intellijex.

5. Inquiries, Submissions, and Feedback

If you submit any inquiry, idea, suggestion, feedback, request, proposal input, or other content to Intellijex, you agree that Intellijex may use such submission for any lawful purpose without restriction, obligation, attribution, or compensation to you unless otherwise agreed in writing.

You represent and warrant that you have the right to provide any such submission and that it does not violate any law or third-party right.

6. Third-Party Links and Services

The Services may contain links to third-party websites, tools, platforms, or services. Such third-party resources are provided for convenience only. Intellijex does not control and is not responsible for any third-party websites, services, content, policies, or practices.

Your use of third-party websites or services is at your own risk and subject to the applicable third party’s own terms and policies. 

7. Service Inquiries and Engagements

Information provided through the Services does not constitute a binding offer, proposal, statement of work, guarantee of service availability, or commitment to perform services unless expressly stated in a separate written agreement signed by Intellijex.

Any professional services, consulting services, development services, implementation services, support services, or project work provided by Intellijex shall be governed by a separate written agreement, proposal, order form, statement of work, or similar document, where applicable.

In the event of a conflict between these Terms and a separate signed agreement between you and Intellijex, the separate signed agreement shall control with respect to the subject matter of that agreement.

8. No Professional, Legal, or Regulatory Advice

The Services may include general information relating to technology, automation, software, websites, integrations, workflows, or IT-related matters. Such information is provided for general informational purposes only and does not constitute legal, financial, tax, regulatory, cybersecurity, compliance, or other professional advice.

You are solely responsible for evaluating whether any service, information, recommendation, or solution is appropriate for your needs and compliant with your legal and regulatory obligations.

9. User Communications

If you provide information to us through contact forms, email, scheduling requests, project inquiries, support inquiries, or other communications, you agree that such information is accurate and that you have the right to provide it.

You must not submit information that is unlawful, infringing, malicious, confidential without authorization, or otherwise improper.

10. Privacy

Your use of the Services is also subject to our Privacy Policy, if applicable, as updated from time to time. By using the Services, you acknowledge that Intellijex may collect, use, and process information in accordance with that policy.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLIJEX DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.

INTELLIJEX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT OR INFORMATION MADE AVAILABLE THROUGH THE SERVICES WILL BE ACCURATE, COMPLETE, OR CURRENT. 

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLIJEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELLIJEX’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) UNLESS A DIFFERENT AMOUNT IS REQUIRED BY APPLICABLE LAW OR EXPRESSLY SET FORTH IN A SEPARATE WRITTEN AGREEMENT BETWEEN YOU AND INTELLIJEX.

13. Indemnification

You agree to defend, indemnify, and hold harmless Intellijex, its affiliates, and its respective officers, directors, employees, contractors, agents, licensors, and service providers from and against any third-party claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• your use of the Services;
• your violation of these Terms;
• your violation of applicable law or third-party rights; or
• any information, content, or materials you submit to Intellijex.

14. Changes to the Services and These Terms

We may update or revise these Terms from time to time. Updated Terms will become effective when posted or on any later date stated in the updated Terms.

Your continued use of the Services after revised Terms become effective constitutes your acceptance of the revised Terms.

We may also modify, suspend, or discontinue any part of the Services at any time.

15. Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by the laws of the State of Maryland, without regard to conflict of laws principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Maryland, and each party irrevocably submits to the jurisdiction and venue of such courts.

Notwithstanding the foregoing, Intellijex may seek injunctive, equitable, or other provisional relief in any court of competent jurisdiction to protect its intellectual property, confidential information, systems, or other rights.

16. Electronic Communications

By contacting us or using the Services, you consent to receive communications from us electronically, including by email or through the website, and you agree that such electronic communications satisfy any legal requirement that such communications be in writing.

17. Miscellaneous

These Terms constitute the entire agreement between you and Intellijex with respect to your use of the Services, except to the extent supplemented or superseded by a separate written agreement.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Intellijex’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

You may not assign these Terms without Intellijex’s prior written consent. Intellijex may assign these Terms freely.

Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Intellijex.
